Terms of Service

These Terms of Service (“Terms”) are an agreement between you and MatchHome, Inc. (“Rivie,” “we,” “us”) and govern your use of rivie.ai, the Rivie web application, and our mobile apps (together, the “Service”). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Who do these terms apply to?

These Terms apply to everyone who uses the Service. If you use Rivie through a brokerage or other organization that has signed a separate agreement with us, that agreement controls where it conflicts with these Terms. If you accept these Terms on behalf of an organization, you confirm that you have authority to bind it.

Will these terms change?

We may update these Terms from time to time. We will change the date at the top when we do, and if the changes are significant we will notify you before they take effect. Continuing to use the Service after changes take effect means you accept the updated Terms.

How does privacy work?

Our Privacy Policy explains how we collect and use information, including data from Google accounts you connect. It is part of these Terms.

Who can use Rivie, and how do accounts work?

What about accounts I connect, like Gmail?

You may choose to connect third-party accounts, such as Gmail. When you do, you authorize us to access the data in that account as needed to provide the features you turn on. You confirm that you have the right to give us that access, including for information about other people that appears in your messages, such as your clients. You can disconnect an account at any time. Your use of third-party accounts is also governed by those providers’ terms.

Will Rivie send me messages?

We may send you service-related messages, such as security notices, account updates, and responses to your requests, by email or in the Service. You can opt out of non-essential messages at any time.

Who owns what?

Your content

You keep ownership of the content you add to the Service and the data from accounts you connect. You give us a limited license to host, process, and display that content only as needed to operate and provide the Service to you, and as described in our Privacy Policy.

Our Service

We own the Service, including its software, design, and branding. Subject to these Terms, we give you a limited, non-exclusive, non-transferable, revocable right to use the Service for your business. We reserve all rights not expressly granted.

Feedback

If you send us suggestions or feedback, we may use them without restriction or obligation to you.

What should I know about AI features?

Rivie uses artificial intelligence to generate summaries, drafts, suggestions, and other output. AI output can be incomplete or wrong. Review it before relying on it or sending it to anyone. Output is not legal, financial, tax, or professional real estate advice, and you remain responsible for your communications, transactions, and compliance obligations.

What about third-party services?

The Service may link to or work with services we do not control. We are not responsible for those services, and your use of them is at your own risk and subject to their terms.

What about fees?

Some features may require payment. If you buy a paid plan, the price, billing period, and payment terms will be shown to you before you pay. Fees are non-refundable except as required by law or stated at purchase.

Can my access end?

You can stop using the Service and delete your account at any time. We may suspend or end your access if you break these Terms, if needed to protect the Service or others, or if we discontinue the Service. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, and indemnification.

Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Rivie disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any output will be accurate.

Limitation of liability

To the fullest extent permitted by law, Rivie will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business, arising out of or related to the Service. Rivie’s total liability for all claims related to the Service will not exceed the greater of the amount you paid us in the 12 months before the claim and one hundred U.S. dollars ($100).

Indemnification

You will defend and indemnify Rivie against claims, damages, and costs, including reasonable attorneys’ fees, arising from your content, your use of the Service, or your violation of these Terms or the law.

Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in New York County, New York, and both parties consent to their jurisdiction.

General

These Terms, together with the Privacy Policy and any separate agreement you have with us, are the entire agreement between you and Rivie about the Service. If any part is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
